Terms of Use

These terms govern use of the Westcroft & Rowe website and marketplace at westcroftrowe.com. By creating an account or using the service, you agree to them.
What Westcroft & Rowe provides
Westcroft & Rowe provides a marketplace and software platform for buyers and sellers of online businesses and websites. We help parties discover listings, exchange information according to membership rules, negotiate and hand off applicable completion to Escrow.com.
Westcroft & Rowe is not:
- the buyer or the seller of a listed business;
- a party to the underlying acquisition agreement solely by providing the platform;
- an escrow agent or custodian of transaction funds;
- a broker, financial adviser or investment adviser;
- a guarantor of a listing, of future financial performance, or that a transaction will complete.
Eligibility
The service is intended for adults and business users. You must be at least 18 and able to enter a binding contract. You must provide accurate account information and keep it current.
Accounts
You are responsible for your credentials and for activity under your account. Tell us promptly via Contact if you believe your account has been compromised. Creating an account is free and does not by itself grant membership access.
Membership subscriptions
Paid membership unlocks member features described on the Membership page, including identity disclosure and the full acquisition memorandum where product rules allow. Buyers and sellers use the same membership.
- Membership is billed as a recurring subscription through Stripe.
- The current published price is £19 per month, charged according to Stripe’s subscription billing for the price configured for Westcroft & Rowe.
- Membership access is granted only after Stripe-confirmed subscription state is written to our systems. Returning from a checkout success URL alone does not create entitlement.
- You can manage or cancel membership through the Stripe Customer Portal from the Membership page when a Stripe customer is on file.
- After cancellation, access continues or ends according to the resulting Stripe subscription status and period recorded for your account (for example remaining access until period end where that status still qualifies as active membership under our rules).
- Refunds, if any, are handled in accordance with Stripe’s processing, any rights you have under mandatory consumer law, and the facts of the case. These terms do not invent a separate unconditional refund promise.
Marketplace conduct and due diligence
- Users are responsible for their own due diligence.
- Sellers are responsible for the accuracy and legality of information they supply.
- Buyers must independently assess any acquisition.
- Users should obtain their own legal, accounting, tax or other professional advice where appropriate.
- Listing information is not investment advice.
- Past performance does not guarantee future performance.
- We do not guarantee that any transaction will complete.
Evidence and provenance
Figures and other listing data may carry provenance labels used by the product (for example seller-reported versus verified). Seller-reported information has not been independently checked by Westcroft & Rowe. Only information explicitly carrying the appropriate verified state may be described as verified, and even then verification is limited to the product’s stated meaning (such as a connected source where that feature applies). Do not treat any label as a guarantee of commercial outcome.
Anonymity and access controls
Public and signed-out browsing intentionally withholds identifying business information. You must not attempt to circumvent subscription, anonymity or security controls, scrape protected data, or probe other users’ accounts.
Escrow
Where a deal uses escrow, parties use Escrow.com for applicable transaction funds and are also bound by Escrow.com’s terms. Westcroft & Rowe does not control or hold those funds. Provider status is authoritative for escrow funding and related escrow events; our systems record references and status needed to present the workflow.
Prohibited use
You must not use the service to:
- list or trade unlawful businesses or assets;
- commit fraud or post misleading listings;
- manipulate the market or impersonate others;
- gain unauthorised access, introduce malicious code, or attack the service;
- sell unlawful personal data;
- conduct prohibited financial or securities activity;
- list betting or gambling businesses;
- circumvent membership, anonymity or other access controls.
Suspension
We may suspend or remove accounts or listings where reasonably necessary for security, legal compliance, fraud prevention or material breach of these terms.
Intellectual property
The Westcroft & Rowe platform, branding and software remain ours or our licensors’. You keep ownership of content you supply. You grant us a licence to host, display and transmit that content as needed to operate the marketplace.
Limitation of liability
The service is provided on a commercially reasonable basis for a marketplace platform. To the fullest extent permitted by law, we are not liable for loss of profits, loss of business, loss of data, or indirect or consequential loss arising from listings, negotiations, failed transactions, third-party escrow or payment providers, or reliance on listing content. Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable UK law, including for death or personal injury caused by negligence, or for fraud.
Governing law
These terms are governed by the laws of England and Wales. The courts of England and Wales have jurisdiction over disputes, without prejudice to any mandatory consumer protections that apply to you.
